A Master Service Agreement ("MSA") is an agreement between parties that outlines general terms of future arrangements, and is often used with technology contracts. An MSA tends to cover the following terms, in addition to other terms:
- Intellectual Property ("IP").
- Warranties, Limitations, and Indemnification.
- Dispute Process.
The advantage to entering into an MSA is it saves time for parties that often do business with one another in regard to a statement of work (SOW) and a purchaser order (PO).
